Preamble

In particular, in corporate collaborations, regardless of the legal form chosen, progress depends largely on whether the partners share common values, demonstrate lawfulness in their companies and create an open climate, so that even difficult issues can be addressed and existing risks minimized.

It should not be forgotten that the personal integrity and sound judgment of each individual can not be replaced. In order to meet the increased social responsibility, everyone must adhere to the applicable regulations and take personal responsibility for their compliance in their own work environment.

The continuity and constant development of each cooperation depend crucially on the common commitment to social responsibility and reputation as a trusted business partner. Together we are strong - and can only get stronger!

This Code of Conduct summarizes the key principles and principles for your own actions and conduct towards business partners, customers and the public. The Code of Conduct provides guidance to all users on such topics as compliance and compliance, fairness and equal treatment, sustainability, privacy and more.

We regard adhering to national and international laws as well as internal regulations as an essential basic principle of an economically responsible action. We always comply with the applicable legal prohibitions and obligations, even if this involves short-term economic disadvantages or difficulties for the cooperation, individual companies or individual persons.

Privacy and Information Security

The protection of personal data in general, but especially of employees, partners, customers and suppliers, has a very high value for us. Basically, we collect and process personal data only if this is absolutely necessary for the fulfillment of the respective task or was ordered by law, and even then we pay attention to data security, transparency and data minimization.

Otherwise, we process personal data only after obtaining the consent of the data subject, which always complies with the rules and principles laid down in the European Data Protection Regulation. The cooperation partners ensure that the personal data that is exchanged within the cooperation is always the subject of separate consent of the data subject. Each cooperation partner ensures that the legally required data protection level is complied with in his company.

When developing new products and services as well as supporting existing customers, we ensure that all environmental and climate impacts are kept as low as possible and that our products make a positive contribution to environmental and climate protection for our customers.

Avoidance of conflicts of interest

Business decisions are made exclusively in the best interest of the cooperation. Conflicts of interest with other economic or other activities of the cooperation partners, their relatives or other related parties as well as private concerns of individual employees should be avoided right from the start. If they occur anyway, they must be disclosed and resolved in accordance with applicable law.

Fair competition

Our cooperation stands for competence, innovation, customer orientation and motivated, responsible employees. This is the basis for the sustained economic success of the cooperation in global competition.

Corruption, competition and antitrust violations threaten this success - and are not tolerated (so-called zero-tolerance policy). Kickbacks or cartel agreements are no means for us to obtain an order. We would rather forego a business and achieve internal goals than violate laws.

Each cooperation partner introduces an internal compliance program. With these compliance programs we all ensure that competition-relevant regulations such as the ban on cartels, the prohibition of discrimination or the prohibition of unfair competition are observed. Every employee at each cooperation partner is required to actively participate in the implementation of the internal company compliance program in his area of ​​responsibility. Violations are tolerated by no cooperation partner and lead to sanctions against the affected persons.
Money Laundering Prevention

Our cooperation adheres to the money laundering law. No cooperation partner participates in money laundering activities. Each employee at each cooperation partner is required to have unusual financial transactions, in particular involving cash, which may justify suspicion of money laundering, be checked by the responsible financial, legal or compliance department.

Human and employee rights We respect internationally recognized human rights, dignity and personal rights and support their observance. We strictly reject any form of forced and child labor. We respect the right to freedom of association and collective bargaining in the context of existing regulations. We are committed to fair working conditions, including pay, the regulation of working hours and the protection of privacy.
Work-and Healthprotection

We ensure a healthy and safe working environment for our employees. At the same time, occupational safety and health protection are integrated into the technical, economic and social considerations of each partner right from the start - even in the planning phase - as integral components of all operations. All our employees comply with health and safety regulations. The high security requirements of our cooperation are also taken into account when subcontracting and when looking for suitable partners.

Donate

Each cooperation partner sees itself as an active member of society and therefore engages in different ways. Among other things, donations and other forms of social involvement are provided. In doing so, we do not make any financial contributions to political parties, party or party-like organizations, or to elected officials or candidates for political office at home and abroad.
Appearance and communication in public

We respect the right to freedom of expression and the protection of privacy and privacy. At the same time, we are all aware that private statements can also be made in connection with the company's activities and activities for and within the framework of cooperation. For this reason, our employees also pay attention to the reputation and reputation of their company and the entire cooperation when they appear in public, especially towards the media.

Reporting

Reliability, honesty, credibility and integrity are among our common values. Accordingly, we conduct open and truthful reporting and communication on the business operations of each individual company and the entire cooperation with investors, employees, customers, business partners, the general public, and government institutions. Each employee ensures that their internal and external reports, information and communications are complete, accurate and in accordance with the applicable law and internal guidelines of the respective cooperation partner.
Confidential company information

We take the necessary steps to protect confidential information and business documents from access and insight, not to the specific business transaction of directly involved employees and other third parties in an appropriate manner. Employees who hold information that is not generally known or readily available may not share this information or make it public in any other way.
 
Protection of company property

We use the property and resources of each company and the entire cooperation properly and gently, protecting it against loss, theft or misuse. The intellectual property of our cooperation represents a competitive advantage and thus a good worth protecting, which we defend against any unauthorized access by third parties.
In principle, we use the material and immaterial property for the business purposes of the cooperation and the companies involved, unless private use has been permitted. For business travel and other corporate or co-operative spending, we commit ourselves to the principle of cost-effectiveness and, hence, an appropriate cost-to-cost ratio to the nature and scope of the event.

We encourage active and open communication of this Code of Conduct as well as the underlying values, rules and standards of all cooperation partners. Each cooperation partner ensures that the Code of Conduct is implemented in-house.

Our executives have to be measured by this Code of Conduct because of their exemplary role. They ensure that all employees know, understand and apply the Code of Conduct, and are the first point of contact for questions on the understanding or interpretation of individual regulations. We stand cross-company for a trusting and good cooperation between employees and executives, which manifests itself in an open exchange of information, in honest dealings and in mutual support.
